Terms & Conditions

These Terms and Conditions govern your use of the Thawn website and any consulting services you engage us to provide. Please read them carefully. If anything is unclear, we are happy to explain — just reach out before proceeding.

Definitions

Throughout these Terms, the following words carry the meanings described below:

"Agreement" — these Terms and Conditions, together with any written proposal or statement of work accepted by both parties.

"We / Us / Our / Thawn" — Thawn, a consulting firm operating from 15 Jalan Batai, Bukit Damansara, 50490 Kuala Lumpur, Malaysia.

"You / Client / User" — any individual or organisation that accesses this website or engages Thawn for consulting services.

"Service" — any AI consulting engagement offered by Thawn, including but not limited to AI-driven email triage, multi-modal AI integration, and AI project scoping.

"Deliverable" — any document, system, report, prototype, or other output produced as part of a consulting engagement.

"Content" — all text, images, code, documentation, and materials available on this website.

Acceptance of Terms

By using this website or engaging our services, you confirm that:

  • You are at least 18 years of age.
  • If acting on behalf of an organisation, you have authority to bind that organisation to this Agreement.
  • You have read and understood these Terms and agree to be bound by them.

If you do not agree, please do not use this website or engage our services. We are always open to discussing any concerns before you proceed.

Service Description

Thawn provides AI consulting services to businesses and organisations. Our current offerings include:

AI-Driven Email Triage

Design and implementation of classification systems that sort, prioritise, and route inbound email. Engagements run approximately 6 weeks.

Multi-Modal AI Integration

Architecture and implementation of systems combining text, image, and structured data inputs. Engagements run approximately 12 weeks.

AI Project Scoping

Structured consulting to define requirements, feasibility, and implementation plans for proposed AI initiatives. Engagements run approximately 2 weeks.

Service availability is subject to team capacity. We reserve the right to decline engagements at our discretion. Our services are delivered primarily in English and are available to clients throughout Malaysia and internationally.

User Responsibilities

When using this website or engaging our services, you agree to:

Provide accurate information

Supply truthful and complete details when completing forms or discussing project requirements with our team.

Cooperate on engagements

Make appropriate team members and data available as reasonably required to deliver agreed services.

No harmful use

Do not use this website or our deliverables in ways that are illegal, fraudulent, or harmful to others.

No unauthorised access

Do not attempt to access any systems, accounts, or data beyond what is explicitly permitted in writing.

No reverse engineering

Do not attempt to extract, copy, or reverse-engineer proprietary methodologies or tools used in service delivery.

Timely payments

Settle invoices within the timeframes agreed in the relevant proposal or statement of work.

Intellectual Property

Website Content

All content on this website — including text, design, structure, and graphics — is the property of Thawn and is protected under applicable Malaysian intellectual property law. You may not reproduce, distribute, or use this content without our written permission.

Deliverables

Unless agreed otherwise in writing, upon full payment of all fees for an engagement, Thawn assigns to the Client the rights to use the specific deliverables produced for that engagement. Thawn retains the right to use its underlying methodologies, frameworks, and general knowledge in other engagements.

Any third-party tools, libraries, or models incorporated into deliverables remain subject to their own respective licences. We will identify these in the relevant deliverable documentation.

Payment Terms

All fees are quoted and invoiced in Malaysian Ringgit (RM) unless otherwise agreed in writing. Our current standard service fees are:

Email Triage

RM 2,200

per engagement

Multi-Modal Integration

RM 4,500

per engagement

Project Scoping

RM 700

per engagement

Payment schedule: A 50% deposit is required to commence work. The remaining balance is due upon delivery of the final deliverable, unless a different schedule is specified in your proposal.

Late payments: Invoices unpaid beyond 14 days of the due date may incur a late fee as specified in the relevant proposal. Work may be paused on outstanding engagements until payment is received.

Refunds: Deposits are non-refundable once work has commenced, except where Thawn fails to deliver as agreed. If an engagement is cancelled before work commences, a full refund of the deposit will be provided within 10 business days.

Service-Specific Terms

Scope and Changes

The scope of each engagement is defined in the project proposal or statement of work. Requests for changes beyond the agreed scope may require a separate written amendment and additional fees. We aim to handle scope questions collaboratively and without unnecessary friction.

Timelines

The durations stated in service descriptions are estimates based on typical engagements. Actual timelines depend on the complexity of your requirements and the availability of information from your team. We will communicate promptly if any delays are anticipated.

Confidentiality

Both parties agree to treat each other's non-public business information as confidential. We will not disclose your data, systems, or business details to third parties without your consent, except as required by law. This obligation continues for two years after the conclusion of an engagement.

Client Data

Any data you share with us for the purposes of an engagement remains your property. We use it only to deliver the agreed service and will return or delete it upon completion unless you request otherwise.

Disclaimers

Our website and its content are provided on an "as is" and "as available" basis. While we make reasonable efforts to ensure the information on this site is accurate and current, we do not warrant that it is free from errors or that the site will be uninterrupted.

AI systems and consulting outputs produced through our services represent professional judgement based on available information. Outcomes can vary depending on factors outside our control, including the quality of your existing data infrastructure, third-party platform behaviour, and organisational adoption.

Nothing in our service materials constitutes legal, financial, or regulatory advice. If your AI initiative has specific compliance requirements, please engage appropriate specialised advisors alongside our services.

Limitation of Liability

To the fullest extent permitted by Malaysian law, Thawn's total liability in connection with any engagement is limited to the fees paid by you for that specific engagement.

We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in this clause limits liability for fraud, death, or personal injury caused by negligence, where such limitation would be unlawful.

Indemnification

You agree to indemnify and hold Thawn harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of this Agreement, your use of our deliverables in ways not intended or authorised, or your violation of any third-party rights.

Termination

By the Client

You may terminate an engagement by giving written notice. You will be invoiced for work completed up to the date of termination. The deposit is non-refundable if work has commenced.

By Thawn

We may suspend or terminate an engagement if payment is significantly overdue, if you breach a material term of this Agreement, or if circumstances make it impractical or unethical to continue. We will give reasonable notice where possible.

Effect of Termination

Clauses related to intellectual property, confidentiality, payment obligations, limitation of liability, and dispute resolution survive termination.

Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of a dispute, we encourage both parties to first attempt to resolve it directly through good-faith discussion.

If direct resolution is not possible within 30 days, either party may refer the matter to mediation through the Malaysian Mediation Centre before pursuing litigation.

Any legal proceedings shall be brought exclusively in the courts of Malaysia, and both parties consent to that jurisdiction. Consumer rights under Malaysian law are not affected by this clause.

General Provisions

Entire Agreement: This Agreement, together with any signed proposal or statement of work, constitutes the full agreement between the parties and supersedes all prior discussions.

Severability: If any clause of this Agreement is found to be unenforceable, the remaining clauses continue in full effect.

Waiver: Failure to enforce any provision of this Agreement on one occasion does not waive the right to enforce it on future occasions.

Assignment: You may not transfer your rights or obligations under this Agreement without our prior written consent. Thawn may assign its rights in connection with a business transfer.

Notices: Formal notices under this Agreement should be sent by email to [email protected] or by registered mail to our address in Kuala Lumpur.

Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, power failures, or government actions.

Changes to Terms

We may update these Terms from time to time. When we do, the date shown at the top of this page will be updated. Continued use of this website or our services after the effective date of any revision constitutes acceptance of the revised terms.

For active engagements, any changes that materially affect your rights will be communicated in writing before they take effect.
